Welcome to GradMoment. These Terms & Conditions ("Terms") govern your access to and use of GradMoment (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What GradMoment Is
GradMoment is a digital graduation announcement platform. It lets you build a personalized announcement page for a graduate, share that page with friends and family by link, and collect messages and well-wishes from guests.
2. Accounts & Eligibility
You must be at least 13 years old to create an account. If you are under the age of majority in your jurisdiction, a parent or legal guardian must agree to these Terms on your behalf and is responsible for your use of the Service.
You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Notify us promptly if you suspect unauthorized access.
3. Your Content
"Your Content" means anything you upload, submit, or display through the Service — including the graduate's name, school, photos, messages, gift links, and any guest messages received on your page.
You represent and warrant that you own or have permission to use Your Content, including any photos and personal information about the graduate, and that posting it does not violate the rights of any third party.
You retain ownership of Your Content. You grant GradMoment a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and transmit Your Content solely for the purpose of operating, providing, and improving the Service.
4. Published Pages Are Public
Once you publish a GradMoment page, it is publicly accessible to anyone with the link. Search engines may index it. Guests do not need an account to view it or to leave a message in the guestbook (if you have enabled the guestbook).
Do not include information on a published page that you would not want to be public — for example, a graduate's home address, phone number, school ID, or other sensitive details. You can unpublish a page at any time from your Moment edit page.
5. Acceptable Use
You agree not to:
- post content that is unlawful, harassing, defamatory, hateful, threatening, or sexually explicit;
- impersonate another person or misrepresent your affiliation with anyone;
- upload content that infringes anyone's intellectual property, privacy, or publicity rights;
- use the Service to send spam or unwanted communications;
- attempt to interfere with, probe, or disrupt the Service, including by scraping, reverse-engineering, or circumventing security or rate limits;
- use the Service to collect or harvest information about other users.
6. Guest Messages
Anyone with the link to your published page may be able to leave a message in your guestbook (if enabled). You are responsible for moderating your own page. GradMoment may also remove guestbook content that violates these Terms.
7. Service Availability & Changes
The Service is provided on an "as is" and "as available" basis. We may add, change, or remove features, and we may suspend or discontinue the Service in whole or in part at any time, with or without notice.
8. Termination
You may delete your account at any time by contacting us. We may suspend or terminate your access, remove pages, or delete content if we believe you have violated these Terms or to comply with the law.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by law, GradMoment and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profits, or goodwill arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or related to the Service will not exceed one hundred U.S. dollars ($100).
11. Indemnification
You agree to defend, indemnify, and hold GradMoment harmless from any claim or demand arising out of Your Content, your use of the Service, or your violation of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may notify you on the home page or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. You agree that any dispute will be resolved exclusively in the state or federal courts located in Tennessee.
